1. Introduction
These Terms and Conditions ("Terms") govern your use of Caplli's website and services (the "Service"). By accessing the Service, you agree to be bound by these Terms. In this document, "Client," "you," and "your" refer to the user of the Service; "Company," "we," "us," and "our" refer to Caplli; and "Party" or "Parties" refer to either or both. The Terms are governed by the laws of the United States.
2. Cookies
The Service uses cookies and similar technologies to provide and improve functionality. By continuing to use the Service, you consent to the use of cookies as described in our Privacy Policy.
3. License
Unless otherwise stated, Caplli and its licensors own the intellectual property rights in all material on the Service. All rights are reserved. You may view, download, and print pages for your personal use only. You must not republish, sell, sublicense, rent, redistribute, or reproduce material from the Service without our prior written consent.
4. User Comments
Portions of the Service may allow users to post comments or other content ("User Content"). We do not pre-screen User Content and are not responsible for it. You are solely responsible for any User Content you submit, including its legality, accuracy, and appropriateness. We reserve the right to monitor and remove content at our sole discretion. By posting User Content, you grant Caplli a non-exclusive, royalty-free, worldwide license to use, reproduce, and distribute it in connection with the Service.
5. Hyperlinking to Our Content
The following organizations may link to our Service without prior approval: government agencies, search engines, news organizations, and online directory distributors. Other organizations may request linking approval, which we will evaluate based on the link's accuracy, fit with our brand, and absence of any false sponsorship or misleading representation.
6. Iframes
Without prior written approval, you may not create frames around our pages or otherwise alter the visual presentation of the Service.
7. Content Liability
We are not responsible for content that appears on websites linked to or from the Service. You agree to indemnify us against claims arising from content on websites where you have placed a link to our Service. No links to our Service may appear on pages that contain unlawful, infringing, or otherwise objectionable content.
8. Reservation of Rights
We reserve the right to request that you remove any link to our Service. We also reserve the right to amend these Terms at any time. By continuing to use the Service, you agree to be bound by the current version.
9. Disclaimer
To the maximum extent permitted by applicable law, we exclude all warranties, conditions, and representations relating to the Service. Nothing in this disclaimer will: (a) limit or exclude liability for death or personal injury; (b) limit or exclude liability for fraud or fraudulent misrepresentation; (c) limit any liability in any way not permitted under applicable law; or (d) exclude any liability that may not be excluded under applicable law. The Service is provided "as is" without warranty of any kind.
10. Loan Brokerage Services (addition — please review)
Caplli is a commercial finance broker, not a lender. We facilitate loan applications and match prospective borrowers with lenders in our network. We do not make lending decisions, set loan terms, or fund loans. Loan approval, rates, fees, and conditions are determined solely by the lender. Pre-qualification and indicative term sheets are not commitments to lend. You are under no obligation to accept any offer presented through the Service.
11. Loan Applications and Information Accuracy (addition — please review)
You agree that all information you provide in connection with a loan application is true, accurate, and complete to the best of your knowledge. Submitting false or misleading information may result in denial of credit, withdrawal of offers, and may constitute a criminal offense. You authorize us and our lender partners to verify the information you provide, including obtaining credit reports and other consumer reports, to the extent permitted by law.
12. Electronic Communications and TCPA Consent (addition — please review)
By providing your phone number and submitting an application, you expressly consent to receive calls and SMS messages from Caplli and its lender partners regarding your application, offers, and related services, including those placed using an automatic telephone dialing system or pre-recorded voice. Standard message and data rates may apply. Consent is not a condition of receiving our services and you may opt out at any time by replying STOP to any text message or by contacting us.
13. Dispute Resolution and Governing Law (addition — please review)
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Dallas County, Texas. You and Caplli each waive any right to a jury trial and to participate in any class action. Either party may bring a claim in small claims court instead of arbitration if it qualifies.
